Terms of Service

Please read these terms carefully before using Aperxio's products and services. These terms apply to all Aperxio platforms, websites, and applications, including aperxio.com and the InEx financial tracking application.

Acceptance of Terms

By accessing or using any Aperxio services, software, or platforms, you agree to be bound by these Terms of Service. You must be at least 18 years of age to use our services. If you are using our services on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

These terms constitute a legally binding agreement. If you do not agree to these terms, please do not use our services.

Use of Services

Aperxio grants you a limited, non-exclusive, non-transferable, revocable licence to use our services for your internal business purposes, subject to these terms. You agree not to:

  • Reverse engineer, decompile, or disassemble any aspect of our software.
  • Transmit any harmful, unlawful, or disruptive content through our platforms.
  • Attempt to gain unauthorised access to any part of our systems or infrastructure.

Service Modifications

Aperxio reserves the right to modify, suspend, or discontinue any part of our services at any time. Where feasible, we will provide reasonable advance notice of significant changes.

We are not liable to you or any third party for any modification, suspension, or discontinuation of services.

Intellectual Property

All intellectual property rights in and to Aperxio services, including but not limited to software, algorithms, design systems, and documentation, are owned by Aperxio or its licensors. Nothing in these terms grants you ownership of any intellectual property.

You retain all rights to your data. By using our services, you grant Aperxio a limited licence to process your data solely for the purpose of providing our services to you.

Disclaimer of Warranties

Our services are provided 'as is' and 'as available' without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Aperxio expressly disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Aperxio does not warrant that our services will be uninterrupted, timely, secure, or error-free. You use our services at your own risk.

Limitation of Liability

To the maximum extent permitted by applicable law, Aperxio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our services.

Aperxio's total liability for any claims arising under these terms shall not exceed the amounts paid by you to Aperxio in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

Termination

Either party may terminate this agreement at any time with written notice, including notice sent by email. Aperxio may suspend or terminate your access immediately if you breach these terms.

Upon termination, your licence to use our services will cease, and you must cease all use. Sections relating to intellectual property, disclaimer of warranties, limitation of liability, and governing law shall survive termination.

Changes to These Terms

Aperxio reserves the right to update or modify these Terms of Service at any time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of our services following notification of changes constitutes your acceptance of the updated terms.

We encourage you to review these terms periodically to stay informed of any updates.

Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
